(Hong Kong, 26 February, 2026) – Following the permission granted by the Securities and Futures Commission "SFC" on 13 February, 2026, to conduct tokenized investment business, Esperanza Fintech (Securities) Limited ("Esperanza Securities" or the "Company") signed a non-legally binding Memorandum of Understanding ("MOU") on 25 February 2026, with VBG Capital Limited (“VBG Capital”), a wholly-owned subsidiary of the Hatcher Group Limited (Stock Code: 8365, "Hatcher Group". Through this collaboration, the two parties aim to build a professional distribution network for tokenized investments ("Esperanza Tokenised Investment") under the SFC’s regulatory framework, pioneering a brand-new channel for eligible investors to participate in the digitalization of real-world asset investments.

Structuring Cooperation Terms to Refine Industry Layout: Building a Compliant Tokenization Distribution System

Esperanza Securities is the first licensed corporation in the Asia-Pacific region to systematically focus on the compliant investment tokenization within the entertainment industry. This cooperation is a core initiative to refine its market layout for tokenized investment products and enhance product coverage and circulation.

According to the MOU:

Priority Distribution: Esperanza Securities will grant VBG Capital priority distribution rights for Esperanza Tokenised Investment.

Underwriting Services: VBG Capital will provide underwriting services for designated Esperanza Tokenised Investment.

Brokerage Services: VBG Capital will provide brokerage services to its eligible clients for secondary market trading of Esperanza Tokenised Investment.

Advisory & Support: Esperanza Securities appoints VBG Capital as the designated financial advisor for tokenized investment projects, and will provide commercial and investor education support to VBG Capital and its clients in respect of tokenised investments, ensuring that all business operations strictly comply with the regulatory requirements of the SFC.

Esperanza Securities leverages its core strengths in compliant operations, technical architecture, asset management, and infrastructure to build a robust asset-based investment tokenization system with cross-industry scalability. The first projects open to eligible investors include:

"Chris Wong’s 40th Anniversary Concert" (to be held at the Hong Kong Coliseum on 6–7 March 2026).

2.

South Korean Boy Band Concert Investment Project in Malaysia (scheduled for 11 April 2026; project details to be announced upon ticket sales).

Both projects feature clear business models and income structures. On 26 February 2026, Esperanza Securities announced a memorandum of understanding signed the previous day with VBG Capital, a wholly owned Hatcher Group subsidiary.
